About the Series

Throughout 2019, the Monash Centre for Commercial Law and Regulatory Studies (CLARS) in the Faculty of Law, in conjunction with the Federal Court of Australia, Commercial Bar Association, Victorian Bar held seminars covering current commercial law topics. The seminars are of interest to the legal fraternity, students and the general public.

Topic: Recent Developments in Schemes of Arrangement

Schemes of Arrangement are used to effect company takeovers, mergers, demergers and corporate
reconstructions. This seminar will address recent developments in schemes of arrangement (including the approach
adopted by the Court in recent scheme cases) and the role of ASIC and the Takeovers Panel.

Topic: Financial Services law and enforcement after the Banking Royal Commission

This seminar will examine the seismic changes in this field arising from recent legislative reform and ASIC’s greater focus on litigation. It will consider the types of enforcement actions that are likely to brought in the future against Australian Financial Services Licence holders, company
directors, and directors of superannuation trustee companies, and include practical tips for counsel and practitioners advising clients subject to regulatory action.
